Terms and Conditions

Welcome to PocketWell! These Terms & Conditions ("Terms") govern your access to and use of PocketWell's website, services, and tools (collectively, the "Service"). By accessing or using our Service, you agree to comply with these Terms and our Privacy Policy.
If you do not agree with these Terms, you must not use PocketWell.
1. Overview
PocketWell is a digital platform that enables users ("Hosts") to create personalized event pages for special occasions such as weddings, birthdays, baby showers, and other celebrations. These pages allow friends and family ("Guests") to send well wishes and monetary gifts online. PocketWell acts as a facilitator by providing the platform infrastructure and secure payment processing through Stripe Connect.
Guests can contribute to an event via a link or QR code shared by the Host. PocketWell, through Stripe Connect, processes all payments on behalf of the Host and facilitates payouts upon request. Hosts can view received gifts through their dashboard and request payouts, which are processed according to the payout schedule for their country.
2. Eligibility
To use PocketWell, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Reside in one of our supported countries: United States, Canada, United Kingdom, Australia, or New Zealand
- Have the legal capacity to enter into a binding contract
- Agree to comply with all applicable laws and these Terms
Guests can contribute from anywhere in the world, but Hosts must be located in one of the supported countries to create events and receive payouts.
3. Account Registration
To host events on PocketWell, you must create an account. By doing so, you agree to:
- Provide accurate and complete information during registration
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access or use of your account
- Accept full responsibility for all activities that occur under your account
PocketWell reserves the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent, abusive, or in violation of applicable laws.
4. Using the Platform
4.1 Hosts
Hosts can create custom event pages and share them with others via unique links or QR codes. Hosts have access to a dashboard that tracks all contributions received for each event.
Payout Setup: To receive payouts, Hosts must complete account verification through Stripe Connect. This includes:
- Providing identity verification information (government-issued ID, tax identification number)
- Connecting or creating a bank account for payouts
- Completing Know Your Customer (KYC) requirements as mandated by financial regulations
Once verification is complete, Hosts can request payouts, which are processed according to their country's payout schedule:
- Instant payouts (United States, United Kingdom, Australia): Funds transferred immediately to your bank account
- Standard payouts (Canada, New Zealand): Funds transferred within 1-2 business days
4.2 Guests
Guests can access an event page via a shared link or QR code and send monetary gifts along with personal messages. Payments are securely processed through Stripe, and the amount (after fees) is credited to the Host's event balance, visible in their dashboard.
Guests do not need to create an account to contribute.
4.3 Fees
PocketWell is free for Hosts to create and manage event pages. PocketWell does not charge Hosts any setup fees, subscription fees, or ongoing costs.
When a Guest makes a contribution, they may be charged the following fees at the time of payment:
- A platform fee, charged by PocketWell for providing the service.
- A payment processing fee, charged by our third-party payment provider (such as Stripe) for securely processing the transaction.
Payment processing fees may vary depending on the Guest’s country, currency, payment method, and card type. PocketWell does not control these fees.
All applicable fees are clearly displayed to the Guest before payment is confirmed, including the total amount payable. By completing a payment, the Guest agrees to the fees shown at checkout.
PocketWell does not add hidden fees. Fees may change from time to time to reflect updates to third-party processing costs. The most current fees will always be displayed prior to payment.
5. Payments and Payouts
5.1 Payment Processing
All payments are securely processed through Stripe, our third-party payment processor. PocketWell does not store or have access to Guest payment card details.
When a Guest makes a contribution:
- Payment is processed securely through Stripe
- Fees are deducted (as outlined in Section 4.3)
- The net amount is credited to the Host's event balance
- The Host can view the balance in their dashboard
5.2 Payout Processing via Stripe Connect
Payouts are facilitated through Stripe Connect. To receive payouts, Hosts must:
- Complete Stripe Connect account verification
- Provide required identity and banking information
- Meet Stripe's terms of service and compliance requirements
Payout Schedule by Country:
- United States, United Kingdom, Australia: Instant payouts available (funds transferred immediately upon request)
- Canada, New Zealand: Standard payouts (funds transferred within 1-2 business days)
Payout Requests: Hosts can request payouts at any time through their dashboard. The payout will be sent to the bank account connected to their Stripe Connect account.
Important Notes:
- PocketWell is not liable for delays caused by incorrect bank details, banking institution processing times, or external banking issues
- Minimum payout thresholds may apply (displayed in your dashboard)
- Payouts are subject to Stripe's terms and conditions
- For issues with payouts, Hosts may need to contact Stripe support directly

5.3 Currency
All transactions are processed in the local currency of the Host's country:
- United States: USD
- Canada: CAD
- United Kingdom: GBP
- Australia: AUD
- New Zealand: NZD
Guests paying from other countries may be subject to currency conversion fees from their payment provider or bank.
6. Refunds and Chargebacks
6.1 No Refunds Policy
All contributions made via PocketWell are considered personal gifts to the Host and are strictly non-refundable under normal circumstances. Once a payment is completed, it cannot be reversed by PocketWell.
Any refund requests must be handled directly between the Guest and the Host. PocketWell does not mediate personal disputes or intervene in refund arrangements between users.
6.2 Chargebacks
If a Guest initiates a chargeback through their bank or payment provider:
- The Host will be notified immediately
- The disputed amount may be temporarily held or deducted from the Host's balance
- The Host may be required to provide evidence or documentation to Stripe
- Hosts are responsible for responding to chargeback disputes
- Excessive chargebacks may result in account suspension or termination
Fraudulent Chargebacks: Initiating fraudulent chargebacks is prohibited and may result in account termination and potential legal action.
7. User Conduct
By using PocketWell, you agree not to:
- Violate any laws, regulations, or third-party rights
- Submit false, misleading, or fraudulent information
- Create events for illegal activities or purposes
- Upload or share any malicious code, spam, harmful content, or copyrighted material without permission
- Interfere with the performance, security, or functionality of the platform
- Create multiple or misleading accounts for deceptive or disruptive purposes
- Harass, threaten, or harm other users
- Attempt to circumvent fees or payment processing
- Use the platform for money laundering or other financial crimes
- Violate any anti-money laundering (AML) or Know Your Customer (KYC) regulations
Prohibited Content: Event pages must not contain:
- Illegal, fraudulent, or deceptive content
- Hate speech, discriminatory content, or harassment
- Sexual or explicit content
- Content promoting violence or illegal activities
- Copyrighted material without proper authorization
PocketWell reserves the right to take appropriate action, including content removal, account suspension, or termination, in response to any breach of these Terms. We may also report illegal activity to law enforcement authorities.
8. Intellectual Property
8.1 PocketWell's Intellectual Property
All trademarks, logos, software, branding, design elements, and content (excluding user-submitted materials) are the intellectual property of PocketWell or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works without our express written permission.
8.2 User Content
By submitting content to PocketWell (such as event photos, descriptions, or messages), you:
- Retain ownership of your content
- Grant PocketWell a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content within the platform and for promotional purposes
- Represent that you have all necessary rights to the content and that it does not infringe on any third-party rights
- Agree that PocketWell may remove any content that violates these Terms or applicable laws
9. Third-Party Services
9.1 Stripe Payment Processing
PocketWell uses Stripe and Stripe Connect for payment processing and payout facilitation. By using PocketWell, you agree to be bound by:
Hosts acknowledge that they are entering into a direct relationship with Stripe for payout services.
9.2 Third-Party Links
The Service may contain links to third-party websites or services. PocketWell is not responsible for the content, policies, or practices of third-party sites. Use of third-party services is at your own risk.
10. Disclaimers
10.1 Service Availability
PocketWell provides the Service "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of uninterrupted access or error-free operation
- Warranties of complete security or data protection
We do not guarantee:
- Continuous, uninterrupted, or secure access to the Service
- Freedom from errors, bugs, or technical issues
- Prevention of unauthorized access or data breaches
- Accuracy or reliability of content provided by users
10.2 User Responsibility
We are not responsible for:
- The conduct, behavior, or actions of users (Hosts or Guests)
- The accuracy, legality, or appropriateness of user-submitted content
- Disputes between Hosts and Guests
- Third-party services (including Stripe) and their performance
10.3 No Financial Advice
PocketWell does not provide financial, tax, or legal advice. Users are responsible for understanding the tax implications and legal requirements related to receiving or giving monetary gifts in their jurisdiction.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
11.1 Exclusion of Damages
PocketWell shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from user disputes or disagreements
- Delays in payouts due to incorrect information, bank processing times, or external factors
- Platform outages, service interruptions, or technical failures
- Data breaches, unauthorized access, or security incidents
- Actions or omissions of third-party service providers (including Stripe)
11.2 Liability Cap
In any case, PocketWell's total liability to you for all claims arising out of or related to these Terms or the Service is limited to the lesser of:
- The total platform fees we received from you in the 12 months prior to the event giving rise to the claim, or
- $100 USD (or equivalent in your local currency)
11.3 Essential Terms
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless PocketWell, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your user content or conduct
- Any dispute between you and other users
- Your breach of any third-party rights (including intellectual property rights)
13. Termination
13.1 Termination by PocketWell
We may suspend or permanently terminate your account immediately, without prior notice, if:
- You breach these Terms or our Privacy Policy
- Fraudulent, suspicious, or illegal activity is detected
- We are required to do so by law, regulation, or court order
- You engage in conduct that harms PocketWell or other users
- You violate anti-money laundering (AML) or Know Your Customer (KYC) requirements
- Your Stripe Connect account is terminated or restricted
13.2 Termination by You
You may close your account at any time by:
- Contacting support at support@pocketwellapp.com
- Following the account closure process in your dashboard (if available)
13.3 Effect of Termination
Upon termination:
- Your access to the Service will be immediately revoked
- Outstanding payout requests will be processed if they comply with these Terms
- You remain responsible for any obligations incurred prior to termination
- Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, and 14) will continue to apply
Account closure does not release you from responsibilities related to prior activity or disputes.
14. Dispute Resolution and Governing Law
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction where you reside:
- Australia: Laws of New South Wales, Australia
- United States: Laws of the State of Delaware, USA
- United Kingdom: Laws of England and Wales
- Canada: Laws of the Province of Ontario, Canada
- New Zealand: Laws of New Zealand
14.2 Dispute Resolution
Informal Resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@pocketwellapp.com. We will attempt to resolve the dispute within 30 days.
Arbitration (US Users): For users in the United States, any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action lawsuit.
Jurisdiction: For users outside the United States, disputes will be subject to the exclusive jurisdiction of the courts in the governing law jurisdiction specified above.
14.3 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
15. Modifications to Terms
PocketWell may update, modify, or replace these Terms at any time at our sole discretion. Material changes will be communicated to users via:
- Email notification to registered users
- Prominent notice on our website
- Updated "Effective Date" at the top of these Terms
Your Acceptance: Continued use of the Service following notification of changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and may close your account.
We encourage you to review these Terms periodically.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PocketWell regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.3 Waiver
The failure of PocketWell to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. PocketWell may assign these Terms without restriction.
16.5 Force Majeure
PocketWell shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemic, or failure of third-party services.
16.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and PocketWell.
16.7 Language
These Terms are provided in English. Any translations are provided for convenience only, and the English version shall prevail in case of conflict.
